Terms of Service

Agreement

These Terms of Service ("Terms") govern your access to and use of Pacific Machines, including the desktop application, related websites such as pacificmachines.ai, downloads, and associated services (collectively, the "Service").

The Service is provided by Reefo, Inc. ("Reefo", "Pacific Machines", "we", "us", or "our").

By downloading, installing, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

The Service

Pacific Machines is a local-first productivity application that can observe approved on-screen work on your device (with your permission), maintain a local Brain of recaps and workflows, analyze work patterns, generate reports, and optionally use cloud services for authentication, Brain sync, team report sharing, plugins, and LLM-assisted features.

By default, Learning runs in a lighter mode that keeps activity context without continuous screenshots or video; you may opt into richer screenshot and OCR capture. We may update, improve, or discontinue features. We do not guarantee that any particular feature will remain available indefinitely.

Accounts and eligibility

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account.

You must be able to form a binding contract under applicable law. You may not use the Service if you are barred from doing so under U.S. or other applicable law.

Organizations are responsible for managing seats, roles, and access for their users.

License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Pacific Machines desktop application for your internal business or personal productivity purposes.

You may not: reverse engineer the Service except to the extent permitted by law; circumvent security or usage limits; resell, sublicense, or provide the Service as a hosted service to third parties without our written consent; or use the Service to build a competing product using non-public aspects of the Service.

Your data and privacy

You retain ownership of content and data you create or capture with the Service ("Customer Data").

By default, Learning evidence and related local artifacts remain on your device under the Pacific Machines data folder. Certain features send limited data to subprocessors (for example authentication, Brain document sync, shared team reports, plugins you connect, and LLM providers when you use Chat or Agent), as described in our Privacy Policy. The raw capture library is not mirrored to a remote learning store by default.

You are responsible for:

• Obtaining any consents required to capture or process information that appears on your screen.
• Configuring Learning mode, ignore lists, cleanup, and permissions appropriately.
• Ensuring your use complies with employment, privacy, healthcare, and other laws that apply to you.

If you process protected health information (PHI/ePHI) or other regulated data, you must do so only under an appropriate agreement with us (such as a Business Associate Agreement where required) and with controls you implement in your environment.

Security

We maintain a documented information security program covering access, change management, vendors, and incidents. Current public practices are described in our Security whitepaper. How we collect and share information is described in the Privacy Policy.

You are responsible for protecting account credentials and for configuring capture permissions, Learning mode, ignore lists, and cleanup on devices you control.

Acceptable use

You agree not to use the Service to:

• Violate law, regulation, or third-party rights.
• Capture or process data you are not authorized to access.
• Upload malware or attempt to disrupt the Service.
• Probe, scan, or attack our systems or other users except with prior written authorization.
• Misrepresent your identity or affiliation.
• Use the Service to surveil individuals in a manner prohibited by law.

Third-party services

The Service may integrate with third parties (for example Clerk, Convex, LLM providers, Composio plugins, billing processors, analytics, and OS permission frameworks). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services you choose to enable.

Fees and subscriptions

Paid plans, seats, and billing terms are presented at purchase or in your account. Fees are non-refundable except where required by law or expressly stated otherwise.

We may change pricing with notice for future billing periods. Failure to pay may result in suspension or termination of paid features.

Intellectual property

The Service, including software, branding, and documentation, is owned by Reefo, Inc. and its licensors. These Terms do not transfer ownership of our intellectual property to you.

Feedback you provide may be used by us without obligation to you.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that local capture, cleanup, or AI features will detect or redact all sensitive information.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REEFO, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

Indemnification

You will defend and indemnify Reefo, Inc. against claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

Suspension and termination

You may stop using the Service at any time and may delete local data as described in the Privacy Policy.

We may suspend or terminate access if you violate these Terms, if required by law, or if continuing to provide the Service creates risk. Upon termination, your license ends. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive.

Governing law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Courts located in San Francisco County, California will have exclusive jurisdiction, unless applicable law requires otherwise.

Changes

We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.
